Terms of Use

These Terms and Conditions (the "Terms") govern your access to and use of the Superchat mobile application, website, artificial intelligence assistant, financial technology features and other products and services made available through Superchat (together, the "Superchat Platform").

By creating a Superchat account, accessing the Superchat Platform or using any Service, you agree to these Terms and any additional terms applicable to the particular Service you use.

1. About Superchat

Superchat is an AI-powered technology platform designed to help users manage and execute everyday activities through a unified conversational interface.

Depending on your location and eligibility, Superchat may allow you to access features includi:

• AI and personal assistant services

• Payments and money management

• Local and international accounts

• Payment cards

• Transfers and foreign exchange

• Spending insights

• Travel search and booking

• Shopping and commerce

• eSIM and telecommunications services

• Gifting and other digital services

• Third-party applications and services

• Other products introduced from time to time

Certain Services are provided directly by Superchat. Other Services, particularly regulated financial services, may be provided by licensed banks, electronic money institutions, payment institutions, card issuers, financial institutions or other third-party partners (each, a "Partner").

Superchat will identify the relevant Partner where required.

2. Our Role

Superchat provides the technology and interface through which you can discover, access, manage and interact with different Services.

Unless expressly stated otherwise, Superchat is not itself a bank, deposit-taking institution, card issuer, insurer, investment firm, travel operator, telecommunications operator or other regulated financial institution.

Where a Service is provided by a Partner, your use of that Service may also be subject to that Partner's terms and conditions ("Partner Terms").

By activating or using such a Service, you agree to the applicable Partner Terms.

3. Eligibility

You must generally:

• Be at least 18 years old

• Have legal capacity to enter into a binding agreement

• Provide accurate and complete information

• Reside in a jurisdiction supported by Superchat or the applicable Partner

• Satisfy any identity verification, compliance or eligibility requirements applicable to the Services you request

Availability of Services may differ by country, nationality, residency status or other eligibility criteria.

4. Your Superchat Account

You may need to create a Superchat account to use certain Services.

You are responsible for maintaining the security of your account, device, PIN, passwords, authentication credentials and other security information.

You must notify us immediately if you believe your account or credentials have been compromised.

You may not allow another person to impersonate you or use your account in violation of these Terms.

5. Identity Verification & Compliance

We or our Partners may request information or documents necessary to:

• Verify your identity

• Conduct KYC or KYB checks

• Establish source of funds or source of wealth

• Conduct sanctions, PEP or adverse-media screening

• Prevent fraud and financial crime

• Satisfy tax or regulatory requirements

• Comply with applicable laws

We may restrict, suspend or prevent access to certain Services while these checks are being completed.

You represent and warrant that any funds, assets or information you provide in connection with the Services are not derived from, and are not intended to further, any unlawful activity, and that you will promptly provide any information reasonably requested to support this.

Notwithstanding Section 21 (Suspension & Termination) or any other provision of these Terms, where applicable law prohibits us from disclosing that we have made a report, taken an action, or restricted, frozen or declined to process a transaction in connection with suspected financial crime, sanctions or a regulatory request, we are not required to notify you of that action or the reasons for it, and nothing in these Terms should be read as requiring us to do so.

6. Superchat AI

Superchat uses artificial intelligence to understand requests, provide information, make recommendations and, where authorised by you, take actions on your behalf.

AI-generated information may occasionally be incomplete, inaccurate or inappropriate for your circumstances.

You remain responsible for reviewing information and decisions that are important to you.

Superchat does not provide legal, tax, investment, medical or other regulated professional advice unless expressly stated otherwise.

7. Agentic Actions

A defining feature of Superchat is its ability to perform actions rather than simply provide information.

Depending on the Service and permissions you provide, Superchat may perform actions such as:

• Searching for products or services

• Preparing communications

• Interacting with connected applications

• Making reservations

• Booking travel

• Initiating purchases

• Preparing or initiating payments

• Managing recurring activities

• Executing other instructions given by you

For any action involving a payment, transfer, purchase, subscription or other financial commitment, or any other action Superchat determines to be material or irreversible, Superchat will request your explicit confirmation before execution, showing the key details of the action (including, where applicable, recipient, amount, currency and fees).

By confirming an action, you authorise Superchat and, where applicable, its Partners to execute that instruction. You are responsible for reviewing the material information presented to you before confirming an action.

Where you have confirmed an action on the basis of information or a recommendation generated by Superchat AI, Section 24 (Liability) governs responsibility for any resulting loss.

8. Connected Services

You may choose to connect Superchat with third-party accounts or services.

These may include financial accounts, email, calendars, communications platforms, merchants, travel providers and other applications.

By connecting a service, you authorise Superchat to access and process the information reasonably necessary to provide the functionality you request, subject to your permissions and our Privacy Policy.

You may revoke supported integrations through Superchat or the relevant third-party provider.

9. Money & Financial Services

Superchat may enable eligible users to access financial products including:

• Local accounts

• International or multi-currency accounts

• Payment cards

• Domestic and international transfers

• Foreign exchange

• Wallets

• Bill payments

• Other financial services

Unless expressly stated otherwise, regulated financial products are provided by licensed Partners.

The identity of the relevant Partner and its applicable terms will be made available when you activate the relevant product.

Money held with a Partner is subject to that Partner's safeguarding, deposit protection or other regulatory arrangements, where applicable.

Superchat does not guarantee that any particular financial product will always be available.

10. Payments & Transfers

When you instruct Superchat to make or initiate a payment or transfer, you are responsible for ensuring that the recipient, amount, currency and other transaction information are correct.

Transactions may be delayed, rejected, reversed or subject to additional verification because of:

• Compliance requirements

• Partner requirements

• Payment network rules

• Insufficient funds

• Technical issues

• Recipient-bank requirements

• Applicable law

Foreign exchange transactions may involve exchange rates, spreads and fees displayed before or at the time of the transaction.

11. Cards

Where available, cards accessed through Superchat are issued by the card issuer identified when you activate the relevant card.

Separate Card Terms may apply.

You must keep your physical and virtual card information secure and immediately report suspected loss, theft or unauthorised use.

12. Travel

Superchat may help users discover, compare and book flights, hotels and other travel services.

Unless expressly stated otherwise, the relevant airline, hotel, travel agency or other travel provider supplies the underlying travel service.

Bookings may therefore be subject to the provider's own:

• Cancellation rules

• Refund conditions

• Baggage policies

• Fare conditions

• Other terms

Superchat may facilitate the booking but is not responsible for the performance of the underlying travel service except where required by law.

13. Shopping & Commerce

Superchat may allow you to discover, compare or purchase products and services from third-party merchants.

Unless expressly stated otherwise, the merchant is the seller of the relevant product or service.

Pricing, delivery, returns, warranties and refunds may therefore be governed by the merchant's terms.

14. eSIM & Digital Services

Superchat may provide access to eSIMs, telecommunications services and other digital products supplied by third-party providers.

Availability, network performance, geographic coverage, activation, refunds and usage restrictions may be determined by the relevant provider.

15. Fees

Certain Superchat Services may be free while others may involve:

• Subscription fees

• Transaction fees

• Foreign exchange charges

• Card fees

• Partner fees

• Other charges

Applicable fees will be displayed through Superchat or communicated before the relevant Service is used where required.

16. Subscriptions

Certain Superchat features may be provided under monthly or annual subscription plans.

Subscriptions may automatically renew unless cancelled before the applicable renewal date.

Where subscriptions are purchased through Apple, Google or another application marketplace, billing and cancellation may also be governed by that marketplace's terms.

17. Acceptable Use

You must not use Superchat:

• For unlawful activity

• To commit fraud or financial crime

• To circumvent sanctions or regulatory restrictions

• To impersonate another person

• To interfere with or attack our systems

• To reverse engineer or improperly extract our technology

• To abuse AI or automated functionality

• To create misleading or harmful content contrary to applicable law

• In any manner prohibited by our Acceptable Use Policy

18. Security

Superchat uses technical and organisational measures designed to protect user information and platform security.

However, no digital system can guarantee absolute security or uninterrupted availability.

You must take reasonable steps to secure your own devices and credentials.

19. Third-Party Partners

Superchat works with banks, payment institutions, card issuers, technology companies, merchants, travel providers and other Partners.

Partner Services may have separate eligibility criteria, pricing, service levels and terms.

Superchat may replace, add or remove Partners where necessary to operate or improve the Platform.

Where a Partner Service is discontinued, we will take reasonable steps to inform affected users where required.

20. Service Availability

Superchat is continuously evolving.

We may add, modify, suspend or discontinue features where reasonably necessary for operational, commercial, security, legal or regulatory reasons.

We do not guarantee uninterrupted availability of every Service.

21. Suspension & Termination

We may restrict, suspend or terminate your account or access to a Service where reasonably necessary, including where:

• We suspect fraud or unlawful activity

• You breach these Terms

• Required information is not provided

• A Partner or regulator requires us to do so

• Your activity creates security or compliance risks

• We are required by law

Where legally and operationally possible, we will provide appropriate notice. This is subject to the exception in Section 5 regarding financial crime, sanctions and regulatory reporting.

22. Intellectual Property

Superchat and its software, interfaces, AI systems, workflows, models, branding, designs and other proprietary technology are owned by or licensed to Superchat.

These Terms grant you a limited, personal, non-exclusive and non-transferable right to use the Platform in accordance with these Terms.

No ownership rights are transferred to you.

23. Your Data

Your use of Superchat is subject to our Privacy Policy.

The Privacy Policy explains how we collect, use, store, transfer and protect personal information and how you may exercise applicable privacy rights.

Permissions granted to connected services may be withdrawn where technically available.

24. Liability

Nothing in these Terms excludes liability that cannot legally be excluded.

To the maximum extent permitted by applicable law, Superchat is not responsible for losses caused by:

• Inaccurate information supplied by you

• Actions you expressly authorised, including actions confirmed under Section 7 (Agentic Actions)

• Failures by independent third-party Partners

• Events outside our reasonable control

• Interruptions to telecommunications, banking or payment networks

• Use of Superchat contrary to these Terms

Where Superchat AI generates inaccurate or incomplete information or recommendations (as acknowledged in Section 6), our liability for any resulting loss is limited to the extent permitted by applicable law where you had a reasonable opportunity to review that information before it caused loss, including at any confirmation step under Section 7.

Any additional limitations applicable to particular Services may be specified in the relevant Service Terms.

25. Changes to These Terms

We may update these Terms to reflect:

• New Services or features

• Changes to our Partners

• Legal or regulatory requirements

• Security requirements

• Changes to how Superchat operates

Where a change materially affects your rights, we will provide notice where required by applicable law.

26. Closing Your Account

You may request to close your Superchat account through the Platform or by contacting us.

Closing your Superchat account does not automatically terminate obligations relating to transactions already initiated or agreements entered into directly with Partners.

27. Complaints

If you have a complaint regarding Superchat, please contact: central.admin@superchat.ai

Where your complaint relates to a regulated product provided by a Partner, we may refer or forward the complaint to the relevant Partner.

Nothing in these Terms affects any statutory right you may have to complain to an applicable regulator or dispute-resolution body.

28. Governing Law & Jurisdiction

These Terms are governed by the laws of the Dubai International Financial Centre (DIFC).

The Courts of the DIFC shall have exclusive jurisdiction, subject to any mandatory consumer protection rights applicable in your country of residence.

29. General

These Terms, together with the Privacy Policy and any Partner Terms or Service Terms referenced in them, constitute the entire agreement between you and Superchat regarding the Services, and supersede any prior agreements on the same subject.

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

You may not assign or transfer your rights or obligations under these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, restructuring or transfer of our business, subject to applicable law.

No failure or delay by Superchat in exercising any right under these Terms operates as a waiver of that right.
